MIMS Terms of Service / MIMS 利用規約

These terms apply to all use of MIMS. Conditions shown in an order form, estimate, contract, checkout screen, or service-specific notice are incorporated into these terms.

本規約は MIMS のすべての利用に適用されます。注文書、見積書、契約書、決済画面、またはサービス別の通知に表示される追加条件は、本規約の一部を構成します。

MIMS is a local inventory management system custom made for sellers primarily operating on Mercari, with invoices, stock control, staff workflows, and operational tools.

当社は、保守、セキュリティ、品質向上、法令遵守、または第三者サービスの仕様変更等のため、機能の変更、追加、停止、終了を行うことがあります。

Users must keep registration information accurate and current. Users are responsible for managing credentials, devices, API connections, employee accounts, and access permissions.

当社の故意または重過失を除き、利用者側の認証情報、端末、API 連携、従業員アカウント、権限管理の不備に起因する損失について、当社は責任を負いません。

Users must not misuse the service, attempt unauthorized access, reverse engineer the software, overload systems, infringe third-party rights, enter fraudulent data, violate law or public order, or damage Chiyo Finance or third parties.

サービスの不正利用、不正アクセス、リバースエンジニアリング、システムへの過度な負荷、第三者の権利侵害、虚偽データの入力、法令・公序良俗違反、当社または第三者への損害行為を禁止します。

If MIMS connects with Mercari, AirRegi, Freee, printers, payment providers, delivery providers, cloud services, AI providers, or other third-party services, users must comply with those services' terms and technical restrictions.

第三者サービスの障害、仕様変更、提供終了等により、MIMS の利用可能性または機能が影響を受ける場合があります。

Analytics, recommendations, AI extraction results, inventory counts, price information, sales or expense data, labels, and other outputs support user decisions.

重要な判断、データ送信、ラベル印刷、会計処理、販売行為を行う前に、利用者は出力内容を確認する必要があります。

If paid services, downloads, subscriptions, custom development, or maintenance agreements apply, fees, due dates, cancellations, and refunds are governed by the relevant checkout screen, estimate, invoice, or written agreement.

本規定は、日本法上放棄できない消費者の権利を制限するものではありません。

The service, software, screens, design, code, documentation, analytics logic, trademarks, and related intellectual property belong to Chiyo Finance or the relevant rights holders.

利用者が入力したデータは、利用者または正当な権利者に帰属します。

Chiyo Finance does not guarantee that MIMS will fit a particular purpose, be complete, accurate, uninterrupted, error-free, or continuously compatible with third-party services.

当社は、MIMS が特定目的に適合すること、完全性、正確性、継続性、無停止性、無エラー性、第三者サービスとの継続的互換性を保証しません。

Except for intentional misconduct or gross negligence, Chiyo Finance's liability is limited to ordinary and direct damages.

法令上制限できない場合を除き、当社は逸失利益、事業機会の喪失、データ消失、間接損害、特別損害、結果損害について責任を負いません。

Chiyo Finance may suspend or terminate all or part of MIMS for violation of these terms, security needs, unpaid fees, third-party service issues, legal compliance, maintenance, or other reasonable causes.

規約違反、セキュリティ上の必要、料金未払い、第三者サービスの問題、法令遵守、保守、その他合理的な理由により、当社はサービスの全部または一部を停止または終了できます。

These terms are governed by the laws of Japan. To the extent permitted by law, disputes relating to MIMS will be submitted to the Japanese court with jurisdiction over Chiyo Finance's principal place of business as the exclusive court of first instance.

本規約は日本法に準拠します。法令で認められる範囲において、MIMS に関する紛争は、当社の主たる事業所所在地を管轄する日本の裁判所を第一審の専属的合意管轄裁判所とします。
